This Perisoft license agreement is a legal agreement between you (an individual person or entity) and Perisoft for the software product accompanying this agreement. The product is provided to you under the terms of this agreement, except and only to the extent of applicable law.

A single user license covers one user. A site license covers all users at a single company location. A corporate license covers every employee of a company including present and future subsidiaries. The software may be used on an unlimited number of systems provided each user has either: (1) purchased an individual license or (2) is an employee at a site with a site license or (3) is an employee at a company or subsidiary with a corporate license. There is no time limit on usage of the product. The product may not be modified, reverse engineered, transferred, sub-licensed, sold, rented, leased, given or in any way distributed by any means or in any medium.

The Software is delivered by electronic software download (ESD). Perisoft provides free e-mail support for 90 days following purchase of the product. In the event Perisoft does not make commercially reasonable efforts to resolve a support issue, a refund of the purchase price of the product will be granted.

Licensee assumes the entire risk as to the results and performance of the product. Perisoft is not liable for any special, indirect, incidental, or consequential damages arising out of or in connection with this agreement or the use, operation or performance of the product. In no event shall Perisoft be liable to licensee for amounts in excess of the purchase price of the product. No other warranties, either expressed or implied are permitted.

This agreement is effective upon licensee accepting this agreement and continues until terminated by mutual consent, or by election of either licensee or Perisoft in case of the others breach of license. If this agreement is terminated for any reason, licensee will discontinue use of the product.

The laws of the United States of America protect and govern this agreement. The product and all rights, title and intellectual property remain with Perisoft. Perisoft reserves all rights not expressly granted in this agreement.
